Ambassador Agreement
This Agreement is between you and Aureva International Ltd, trading as With Ease Africa. It governs your participation in our ambassador and referral programme and forms part of the Terms of Service.
What you may do
Introduce people to the platform using the referral link we issue you. You act on your own account as an independent contractor. You are not our employee, agent, partner or representative, and you may not say or imply that you are. You may not enter any commitment on our behalf.
What you must not do
- promise anything about the platform we have not published, including any promise about price, outcome, funding, approval or result;
- describe a capability the platform does not have;
- give tax, legal, accounting or financial advice in our name;
- use spam, bulk unsolicited messaging, paid search on our name, or any deceptive practice;
- create accounts, referrals or activity that are not genuine, including self-referral through any account you control or arrange;
- represent yourself as With Ease Africa, or register anything using our name or marks.
Commission
Commission is that published in the programme terms at the time the qualifying event occurs, and is payable only on a genuine referral that completes the qualifying event and pays in full.
Commission is not payable on: activity we reasonably consider not genuine; a referral that is refunded, reversed or charged back; an account you or a connected person control; or activity in breach of this Agreement. We may withhold, reverse or recover commission already paid in any of those cases.
Payment is made on the published schedule once the minimum threshold is reached. You are solely responsible for your own tax on what you earn, including any obligation to the tax authority of your country and any registration you require. We may withhold amounts where a law requires us to.
Your data and other people's
Where you provide us with someone else's contact details you confirm you are entitled to, and that you have told them what they must be told under the data protection law of your country.
Ending it
Either of us may end this Agreement at any time, on notice. We may end it immediately and forfeit unpaid commission where we reasonably consider you have breached it. Commission genuinely earned on qualifying referrals before termination remains payable, subject to the exclusions above.
Changes
We may change the programme, including commission rates and qualifying conditions, on notice, with effect from the date stated. Continuing to participate is acceptance.
Limitation of liability
Nothing here limits our liability for death or personal injury caused by our negligence, for our own fraud, or for anything else that cannot lawfully be excluded. Your mandatory statutory rights are unaffected to the minimum extent the law requires.
Subject to that, we are not liable for indirect, consequential or special loss, nor for lost profit, revenue, business, goodwill, opportunity, data or reputation, and our total aggregate liability is limited to the lesser of the fees you paid us in the three months before the event and fifty United States dollars (USD 50).
Time limit
A claim must be notified to us in writing within six months of the date you became, or ought reasonably to have become, aware of it. A claim not notified in that period is irrevocably barred.
Indemnity
You will indemnify us in full and on demand, including our legal costs on a full indemnity basis, against everything arising from your breach of these terms, your use of the platform, or your breach of any law or third party right. This indemnity is not limited by the liability cap above.
Disputes
No class, collective or representative action. Send us written notice of any dispute and allow thirty days; that notice is a condition precedent to any claim. Unresolved disputes are finally settled by arbitration seated in Lagos, Nigeria, before a single arbitrator, in English.
Governing law, reform and language
Governed by the laws of the Federal Republic of Nigeria, where we are incorporated. An unenforceable provision is read down to the maximum extent enforceable rather than struck out, and severed only if it cannot be read down at all. English is the sole operative version; translations are for convenience only and create no rights.
