Cooperative and Group Savings Terms
These Terms govern the cooperative, group savings and contribution features of With Ease Africa, operated by Aureva International Ltd. They form part of the Terms of Service and apply to organisers and members alike.
What we provide, and what we are not
We provide software to record and administer a group's own arrangement — contributions, cycles, payouts and loans the group itself has agreed.
We are not a bank, a cooperative society, a credit union, a microfinance institution, a money lender or a deposit-taking institution, and we do not hold ourselves out as any of these. We are not regulated by the financial services regulator of your country in any such capacity. We do not lend, do not guarantee any contribution or payout, and do not underwrite anyone's obligation to anyone else.
Money recorded is not a deposit, is not insured, and earns no interest. Where we hold funds, the Escrow and Payment Holding Terms apply.
The organiser's warranty
If you set up a group, you warrant that the arrangement is lawful in your own country, that you hold every registration, licence or authorisation it requires, and that you will keep them. Cooperative and savings arrangements are regulated differently in every country, and it is your responsibility, not ours, to establish what applies to you and to comply with it.
You will indemnify us in full, including our legal costs on a full indemnity basis, against anything arising from that arrangement being unlawful, unregistered or improperly operated. This indemnity is not limited by the liability cap.
Members
Your rights and obligations are those of the group's own rules, agreed between you and the other members. We are not a party to them. We do not decide who receives what, do not adjudicate between members beyond any determination as to funds we actually hold, and cannot compel any member to contribute.
If another member does not pay, that is a matter between you and that member. We do not make good a shortfall.
Prohibited arrangements
You may not use these features for any scheme in which returns to earlier participants are funded by later participants' contributions, for any arrangement promising a return unrelated to the group's own contributions, or for anything unlawful. We will suspend and report such arrangements.
Records
Contribution and payout records are append-only and cannot be edited or deleted, which is what makes them usable as evidence between members.
Limitation of liability
Nothing here limits our liability for death or personal injury caused by our negligence, for our own fraud, or for anything else that cannot lawfully be excluded. Your mandatory statutory rights are unaffected to the minimum extent the law requires.
Subject to that, we are not liable for indirect, consequential or special loss, nor for lost profit, revenue, business, goodwill, opportunity, data or reputation, and our total aggregate liability is limited to the lesser of the fees you paid us in the three months before the event and fifty United States dollars (USD 50).
Time limit
A claim must be notified to us in writing within six months of the date you became, or ought reasonably to have become, aware of it. A claim not notified in that period is irrevocably barred.
Indemnity
You will indemnify us in full and on demand, including our legal costs on a full indemnity basis, against everything arising from your breach of these terms, your use of the platform, or your breach of any law or third party right. This indemnity is not limited by the liability cap above.
Disputes
No class, collective or representative action. Send us written notice of any dispute and allow thirty days; that notice is a condition precedent to any claim. Unresolved disputes are finally settled by arbitration seated in Lagos, Nigeria, before a single arbitrator, in English.
Governing law, reform and language
Governed by the laws of the Federal Republic of Nigeria, where we are incorporated. An unenforceable provision is read down to the maximum extent enforceable rather than struck out, and severed only if it cannot be read down at all. English is the sole operative version; translations are for convenience only and create no rights.
