Professional Marketplace Terms

These Terms govern use of the professional marketplace on With Ease Africa, operated by Aureva International Ltd, by both those who engage a professional and those who offer services. They form part of the Terms of Service.

We are an introduction platform and nothing more

We are not a party to any engagement between a client and a professional. We do not provide the services. We do not supervise, direct or control them. We give no warranty as to any professional's qualifications, registration, competence, availability, conduct or the outcome of any engagement.

Any contract for services is between the client and the professional alone.

Professionals

You confirm that you are entitled to provide your services, that you hold and will maintain every registration, licence and insurance required of you, including with the professional body that regulates you where applicable, and that you comply with the law wherever you practise. You are solely responsible for the services, for your own tax including any obligation to the tax authority of your country, and for your own professional conduct.

We may remove a listing, suspend or terminate access at our discretion, including where we receive a credible complaint.

Clients

You are responsible for satisfying yourself that a professional is appropriate for your needs, and for verifying their credentials independently. Anything shown on a profile is provided by the professional, not verified by us unless expressly marked as verified, and a verification we do mark is a check of records at a moment in time and not a continuing assurance.

Fees, payment and money held

Our fee is that shown before you engage. Payments made through the platform may be held under the Escrow and Payment Holding Terms, which apply in full — including that a determination as to held funds is final as to those funds and not actionable against us.

Disputes between client and professional

Raise it with each other first. Where funds are held we may make a determination as to those funds only. We are not liable for any act, omission, delay, defect, loss or damage arising from any engagement, and any claim in respect of services lies against the professional, not against us.

Reviews

Reviews must be honest and based on a genuine engagement. We may remove a review that is false, abusive, unlawful or in breach of the Acceptable Use Policy.

Limitation of liability

Nothing here limits our liability for death or personal injury caused by our negligence, for our own fraud, or for anything else that cannot lawfully be excluded. Your mandatory statutory rights are unaffected to the minimum extent the law requires.

Subject to that, we are not liable for indirect, consequential or special loss, nor for lost profit, revenue, business, goodwill, opportunity, data or reputation, and our total aggregate liability is limited to the lesser of the fees you paid us in the three months before the event and fifty United States dollars (USD 50).

Time limit

A claim must be notified to us in writing within six months of the date you became, or ought reasonably to have become, aware of it. A claim not notified in that period is irrevocably barred.

Indemnity

You will indemnify us in full and on demand, including our legal costs on a full indemnity basis, against everything arising from your breach of these terms, your use of the platform, or your breach of any law or third party right. This indemnity is not limited by the liability cap above.

Disputes

No class, collective or representative action. Send us written notice of any dispute and allow thirty days; that notice is a condition precedent to any claim. Unresolved disputes are finally settled by arbitration seated in Lagos, Nigeria, before a single arbitrator, in English.

Governing law, reform and language

Governed by the laws of the Federal Republic of Nigeria, where we are incorporated. An unenforceable provision is read down to the maximum extent enforceable rather than struck out, and severed only if it cannot be read down at all. English is the sole operative version; translations are for convenience only and create no rights.
